In so holding, the Court overturned the EAT's decision that the tribunal had failed to consider the allegation that the administrator had been an ‘unwitting tool' in the hands of the director who had ‘stage-managed' the placing of the company in administration, knowing that the dismissals were inevitable and expecting eventually to acquire the company's assets and business free from TUPE obligations.
